Agreement to Terms
By engaging the services of ApexAimodels (the "Agency"), whether via formal contract or online checkout, the Client (the "Creator") explicitly agrees to be bound by all the terms, conditions, and operational policies set forth in this document. Access to Agency portals, dashboards, and personnel is contingent upon full acceptance of these terms.
Services Description
ApexAimodels provides comprehensive creator management services including but not limited to: growth strategy, AI content development, revenue optimization, and platform scaling. The specific scope of work is determined by the service package (Basic, Growth, Pro, Elite) selected by the Client at the time of onboarding.
Detailed service breakdowns for each tier are maintained on our official Services page and are incorporated herein by reference.
Payment Terms
The monthly management retainer is due on the 1st of each calendar month. Payments must be processed through our official secure billing portal. Any account reaching five (5) days of delinquency will face immediate suspension of all services, including automation triggers and strategist access, until the balance is settled in full.
Performance Split
The performance percentage is calculated monthly based on net revenue growth achieved above the agreed-upon baseline. This baseline is established during the mandatory Onboarding Audit. Performance invoices are generated on the 1st of each month for the preceding month and are subject to the same payment terms as the retainer.
Process Compliance Clause
Creator success with ApexAimodels is built on a scientifically designed operations framework. By entering this agreement, the Client agrees to adhere strictly to the strategy, timeline, and workflows communicated by the Agency.
Early Termination
If the Creator terminates the agreement before the fixed contract term ends, a non-negotiable $100 Early Termination Fee applies. This fee offsets the sunk costs of technical system configuration, custom strategy development, and allocated management resources that cannot be recovered.
No Refund Policy
ApexAimodels operates under a strict No Refund Policy. Once management work, audit analysis, or system configuration has commenced, all payments are considered earned. Partial month refunds or credit reversals are not permitted under any circumstances as services are active from the moment of payment.
Non-Cooperation Clause
The Agency requires active participation to drive growth. If the Client fails to provide requested media, platform access, or responses within 72 hours of a request, the Agency reserves the right to pause services immediately without refund. Three or more instances of non-cooperation entitle the Agency to terminate the contract entirely, with the Early Termination Fee still applied.
Intellectual Property
The Client retains 100% intellectual property ownership of all raw content they create and post. However, ApexAimodels retains full ownership of all strategy documents, automation frameworks, proprietary AI prompts, funnel architectures, and management systems developed for the Client's account during the engagement.
Confidentiality
Both parties agree to treat all strategic data, internal pricing, revenue metrics, and proprietary workflows as "Confidential Information." Disclosure of any such information to third parties (including competitors or other agencies) without express written consent constitutes a material breach of contract.
Results Disclaimer
ApexAimodels makes no guarantee of specific financial outcomes. Revenue projections are mathematical estimates based on market data and historical Agency performance. Actual growth depends on:
- • Market and platform algorithm volatility
- • Raw content quality and appeal
- • Client speed of cooperation
- • External platform policy changes
Past results for other roster creators are not indicative of future performance for new clients.
Account Access
The Client grants the Agency limited, secure access to relevant creator accounts. The Agency warrants it will never use access for unauthorized activities. Revoking access may terminate the Agency's ability to fulfill its obligations.
Governing Law
This agreement is governed by applicable commercial law. Any disputes arising must first be attempted to be resolved via 30 days of direct negotiation before initiating any formal legal or arbitration proceedings.
Amendments
ApexAimodels reserves the right to modify these terms. Active clients will receive thirty (30) days written notice of any material changes via the email address on file. Continued use of services constitutes acceptance.
